Either way.. I wanted to hold them for a while so I didn't mind locking them down |

I think there's a market for a competitor in the collateralized BTC loan niche there, if the new competitor can pay back dividends at the end of the loan term |

| 08:46 |

CoinLab probably has a lot of pissed customers on their end. |
| 08:46 |
imsaguy |
They were probably already registering for the MSB license |
| 08:46 |
imsaguy |
which is all fincen was requiring of them. |
| 08:46 |
mircea_popescu |
not really any customers, they just got the seething ego of vessenes whom i've trashed to all shit and publicly humiliated for three lifetimes. |

| 08:47 |
davout |
exchanges like mtgox need other licenses |
| 08:47 |
davout |
that in itself was already dodgy |
| 08:47 |
mircea_popescu |
davout arguably coinlab was not an exchange. without going into the whole legal theiory here |
| 08:47 |
mircea_popescu |
what they were trying to do is exploit a present hole in legislation. |
| 08:47 |
imsaguy |
coinlab was going to handle the cash |
| 08:48 |
imsaguy |
gox handle the exchange |
| 08:48 |
davout |
if they aren't counterparty to transactions they are an exchange and hold fiat on behalf of third-parties |
| 08:48 |
mircea_popescu |
they failed, through mostly everone involved being ignorant idiots |
| 08:48 |
davout |
imsaguy: the technical platform does not matter, it's the entity that holds the funds who needs the license |
| 08:48 |
imsaguy |
... |
| 08:48 |
mircea_popescu |
this is not france you know. |
| 08:48 |
imsaguy |
did I not just say they were already registering for the license when fincen released their guidance? |
| 08:49 |
davout |
imsaguy: i'm saying they'd need a different license |
| 08:49 |
imsaguy |
which? |
| 08:49 |
imsaguy |
and more importantly, how do you know they hadn't started the process for that? |
| 08:49 |
sturles |
I understand you need a licence for each state if you are going to hold user funds. |
| 08:50 |
davout |
i have no idea, like mircea_popescu said it is not france, but the fincen guidance referred to people exchanging btc for fiat, not for people who sit in the middle and acts as escrow |
| 08:50 |
sturles |
Those licences aren't cheap. |
| 08:50 |
imsaguy |
no |
| 08:50 |
davout |
sturles: yup, and you gotta get one in each state |
| 08:50 |

they typically require a $25M bond |

| 08:52 |

My guess is that CoinLab wasn't ready, but don't see themselves as beeing in breach of contract. Transferred customers wouldn't be able to transfer funds or trade. |

| 08:52 |
imsaguy |
the scribd document of the court filing failed to include said contract |

| 08:53 |

they are saying gox breached the contract |
| 08:53 |
imsaguy |
the problem with all of the fincen guidance is it is untested |
| 08:53 |

until it hits a court, people can kind of do what they want |
| 08:54 |
imsaguy |
and think they are in compliance |

afte rthe midapril bubble burst |

we were chilling in the 60s for a while |
| 11:14 |

things were actually sorta stable |

then someone posted a bidwall at 70 |

all at once |
| 11:14 |
ThickAsThieves |
at about 15k |
| 11:14 |

everyone just sorta ignored it |

once we hit 80 |

a few ppl suggested that one should buy or sell at that time.. |

and a couple hours ago |
| 11:16 |
ThickAsThieves |
someone rallied the price from 82 to 90 |
| 11:16 |
ThickAsThieves |
and posted new bidwalls |
| 11:16 |
ThickAsThieves |
that was probably him |
| 11:16 |
ThickAsThieves |
he's letting everyone else thicken the bidbook |
| 11:16 |
ThickAsThieves |
and buy above his walls |
| 11:16 |

so he can crash when ready |

So, as a noob in asset markets I come back with a few questions. 1. Isn't the purpose of an IPO to see how much the market is willing to pay? You list for example 1000 shares and then you wait 2 weeks or so for offers. When the IPO is over you start fullfilling orders starting with the highest price per share and going towards the lowest. Did I say something wrong till now? |
| 20:35 |
mircea_popescu |
yes. |
| 20:35 |
mircea_popescu |
an ipo is just that, an initial public offering. it can fulfill any purpose the entity doing it wishes fulfilled. |
| 20:35 |
mircea_popescu |
just as long as it's public, an offering and initial it qualifies. |
| 20:36 |

| 20:37 |
Namworld |
Well no fee on each bet is a plus. |
| 20:38 |
Namworld |
But doesn't bring much that SD wasn't already providing. |
| 20:38 |
mircea_popescu |
yeah |
| 20:38 |
mircea_popescu |
basically i don't see anything to set it aside from the whatever, 50 others ? |
| 20:39 |
Tritonio |
Thanks mircea. Second question: If I issue 1000 shares, does each share equal 1/1000th of the company? Or can I state in the contract that shares in total acount for, let's say, 51% of the company? |
| 20:40 |
Namworld |
Eh, well it's slightly different and elegant. But it's pretty much the same as all the other clones, yeah. |
| 20:41 |
mircea_popescu |
Tritonio contract always rules. look at some mpex contracts, bitbet for instance ipod 3mn out of a total of 10 |
| 20:41 |
mircea_popescu |
mpoe initially offered 1mn out of 1bn shares, then on a 2nd pass offered another 4mn |
| 20:42 |
Namworld |
Where can I see the April statement for MPOE? |
| 20:42 |
mircea_popescu |
http://polimedia.us/trilema/2013/mpoe-april-2013-statement/ |
| 20:42 |
Namworld |
thank you |
| 20:43 |
Tritonio |
mircea_popescu, When you offer that another 4mn during the second pass, are the old shares "diluted" or it works like if the second pass shares were owned by the issuer from the beginning? |
| 20:44 |
mircea_popescu |
well it can work either way. in this case it worked without dilution. |
| 20:46 |
Tritonio |
To work with dillution I suppose you would have to issue more shares, which, depending on the contract, usually needs shareholders agreeing to that, right? Although I am not sure why would they agree to getting dilluted. Unless the expect the company's net worth to rise a lot more (because of the revenue from the sale of the new shares) than the dilution. |
| 20:46 |
mircea_popescu |
let's take this apart. |
| 20:47 |
mircea_popescu |
to dillute you always issue more shares. this is to be done by whoever has the authority to do it. |
| 20:47 |
Namworld |
Yeah, but in this case, it works as profit share. Each share of 1 billion in IPO contract has rights to 1/1'000'000'000 of profits. |
| 20:47 |
mircea_popescu |
if the shares vote, then the shareholders do it. if the shares don't vote then the operator does it |
| 20:47 |
Namworld |
He's not issuing more shares, he's selling more |
| 20:48 |
mircea_popescu |
now, why would someone agree to be diluted, well, it depends. suppose you have a kid and your wife wants another one. |
| 20:48 |
mircea_popescu |
will the kid agree to be diluted ? maybe not. then again maybe he wants a brother/sister. |
| 20:48 |
mircea_popescu |
can go either way. |
| 20:51 |
Tritonio |
So if the operator is the one with the right to issue more shares, he could issue them without asking, and possibly decide to keep them all to himself if the contract doesn't prohibit that. Of course he would fuck up the company and everyone would probably sell their shares and leave but I mean if the contract doesn't stop him, he would be basically running away with the shareholders' money. |
| 20:52 |
Namworld |
IDK, usually it's either ask for issuing more shares (like mining companies to buy more stuff) |
| 20:52 |
Tritonio |
Namworld, that's my understanding too. The shared already existed in this case and were held by the issuer/operator and he sold more of them in the second pass. I suppose this also means that the operator was getting a bigger portion of the profits of the company before the second pass. |

KRS, why you think nothingness? |
| 21:16 |
KRS-1 |
from what i learned markets can boom and tulip..or bouncing cat rising then coming up lower each time to a low low...then somehow reinvestment kindles another boom and then market price settles..this is from what i understand the evolution pattern an investment takes if it doesnt die |
| 21:16 |
KRS-1 |
i think there are other patterns but i also may be wrong, im still learning quite a bit |
